These Terms and Conditions (“Terms”) govern your access to and use of the subscription-based software service (“Service”) provided by Specrafter, a California limited liability company (“Company,” “we,” “our,” or “us”). By accessing or using our Service, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not use the Service.
1. Eligibility

The Service is strictly intended for use by registered businesses and not for personal, consumer, or household use.

You must be at least 18 years of age and legally capable of entering into binding contracts under applicable law.

The Service is available only to users located in the United States.
2. Account Registration

To access the Service, you must create an account and subscribe to one of our available plans.

You agree to provide accurate and complete business information during registration.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

3. Subscription and Billing

The Service is offered on a subscription basis, and fees will be billed according to the selected plan.

Upon the end of the Free Trial, you will have the option to upgrade to a paid subscription. If you choose to upgrade, you will need to provide valid billing information and agree to the applicable subscription terms.
If you do not upgrade within the trial period, your access to the Service will be suspended. Your account data may be deleted at the end of the trial unless you choose to subscribe to a paid plan. You are not charged during the trial period unless you upgrade to a paid subscription.

Subscriptions automatically renew at the end of each billing cycle unless canceled before the renewal date. By subscribing, you affirmatively consent to the automatic renewal and recurring billing terms, as required under California law.
- We will send an email reminder at least 30 days before renewal, along with instructions on how to cancel.

You may cancel your subscription at any time by contacting us at support@specrafter.com. Cancellation will take effect at the end of the current billing cycle. You will not be charged after cancellation, but fees already paid are non-refundable unless otherwise required by law.

Refunds are not provided except in cases of billing error or where required by law. If you believe you have been billed in error, please contact us within 30 days of the charge.

We reserve the right to modify our subscription plans and pricing with at least 30 days’ notice to active subscribers.

Applicable state and local sales taxes may apply and will be added where required.

4. Permitted Use

You may use the Service solely to generate product datasheets for your internal business operations.

You may not use the Service for any unlawful or unauthorized purpose.

Reverse engineering, reselling, sublicensing, or distributing the Service or its outputs without prior written consent is strictly prohibited.
- You may use the Service solely for evaluation purposes and to generate sample or test data during the free trial period. You may not use the Service for any production or real business data or purposes during the free trial. Any misuse or violation of these terms may result in immediate termination of your trial account.
5. Data Collection and Privacy

We do not collect personal information from visitors who browse our website without registering.

During the free trial, we may collect business-related information such as company name, contact details, and trial-related data (e.g., test specs and non-production data). You agree not to upload real customer data during the free trial period.

6. Intellectual Property

All content, software, and technology related to the Service are the exclusive property of the Company or its licensors.

You retain ownership of the datasheets you create using the Service.

We reserve the right to use anonymized, aggregated data for performance analysis, system improvements, and business insights.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service solely for your internal business operations. This license does not include any right to modify, reproduce, publicly display, or create derivative works from the Service or its software, except as expressly permitted.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, timely, secure, or error-free.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY OR ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, INCLUDING DURING THE FREE TRIAL PERIOD.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE SIX (6) MONTHS PRIOR TO THE CLAIM.
9. Indemnification
You agree to indemnify, defend, and hold harmless the Company from any claims, losses, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, violation of these Terms, or violation of any applicable law or third-party rights.
10. Termination

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, with or without cause and with or without notice.

If you do not upgrade to a paid subscription at the end of the Free Trial, your access to the Service will be suspended, and any data you have entered may be deleted after the trial period unless otherwise agreed.
We retain the right to terminate your account at any time during the trial period, and upon termination, you will no longer have access to the Service or any data associated with your account, unless required for compliance or as outlined in our Privacy Policy.

Upon termination, access to the Service and stored data may be deleted, subject to our data retention policies.

We may retain your business data for up to 90 days for compliance, auditing, or backup purposes unless earlier deletion is requested in writing.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of California, without regard to conflict of laws principles.
Any disputes will be resolved exclusively in the state or federal courts located in Los Angeles county, California.
You agree that any legal action or proceeding arising under or related to these Terms will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you hereby irrevocably consent to the jurisdiction and venue of such courts.
12. Free Trial Terms:
“Free Trial Period”
We offer a limited-time free trial of our Service to eligible users. The trial is for evaluation purposes only and is intended to allow you to assess the functionality and suitability of the Service for your business. During the free trial, no actual customer data should be uploaded or used with the Service, and you agree to use only sample/demo data for testing purposes.
You understand that the free trial provides limited functionality compared to the full subscription and may not include all features, integrations, or support offered with the paid plans.
Trial Duration: The trial period is two (2) weeks from the date of registration. At the end of the trial, your account will be disabled unless you upgrade to a paid subscription.
Limitation of Liability during Trial: During the free trial, the Service is provided “AS IS,” and you use the Service entirely at your own risk. We do not guarantee that the Service will meet all your expectations during the trial period.
No Real Data: During the trial, you agree not to use any real customer data or production data for testing purposes. You are responsible for ensuring the data you upload is test data and does not contain sensitive or confidential information.
13. Changes to Terms
We may revise these Terms at any time. Updates will be indicated by a revised Effective Date above.
Your continued use of the Service after any update constitutes your acceptance of the revised Terms.
